Most free legal templates online are drafted for Delaware or England. They miss the things that actually decide enforceability here: Section 27 of the Indian Contract Act voiding most non-competes, stamp duty and registration varying by state, ESOP perquisite tax at exercise, the labour codes that replaced 29 central acts in May 2026, and DPDP obligations that are not GDPR obligations.
You can, and for a straightforward founders' agreement or offer letter many teams do. But these are starting points, not advice. Anything with money, equity or a regulator on the other side deserves an advocate or company secretary reading it before signature — the review is far cheaper than the dispute.
Almost certainly, and the amount depends on your state and the instrument. An insufficiently stamped agreement is inadmissible in evidence in India — a uniquely painful failure mode, because the document looks fine right up until the moment you need it in court.
